Accredited investor status explained (U.S.)

In light of U.S. regulatory requirements, the availability of certain features and services offered on Kraken's platform will depend on whether a U.S. client is an Accredited Investor.

Opt-in Rewards is offered to U.S. clients under a private offering exemption (Regulation D, Rule 506(c)), which is available only to accredited investors. As a result, clients who qualify as accredited investors may be eligible for the Opt-in Rewards program.

You will first need to get verified before you have the opportunity to certify your accredited investor status. You may qualify either as an individual or as an entity under Rule 501(a).

The key ways for an individual to qualify are:

  • You beneficially own, alone or with a spouse, net assets exceeding USD $1,000,000.

  • Net worth must be calculated in accordance with Rule 501(a)(5), which requires deducting your liabilities.

  • You have not included the value of your primary residence when calculating your net worth.

  • The funds in your Kraken account are your own capital and were not borrowed.

  • You have no undisclosed debts or liabilities that would bring your net worth below the applicable threshold.

  • You will promptly notify Kraken if your accredited investor status changes in a way that affects your eligibility.

The key ways for an entity to qualify are:

You will be additionally asked to certify that:

  • You are a regulated financial institution — for example, a bank, broker-dealer, insurance company, registered investment adviser, registered investment company, business development company (BDC), or small business investment company (SBIC/RBIC).

  • You are a corporation, LLC, partnership, or 501(c)(3) charity with more than USD$5,000,000 in assets, and the entity was not set up specifically to make this investment.

  • You are a trust with more than USD$5,000,000 in assets that is directed by a financially sophisticated person, and was not set up specifically to make this investment.

  • You are a family office (and its family clients) with at least USD$5,000,000 under management that meets the rule's conditions.

  • You are an entity whose owners are all themselves accredited investors.

  • You are any other type of entity that owns more than USD$5,000,000 in investments and was not set up specifically to make this investment.

  • You will promptly notify Kraken if your accredited investor status changes in a way that affects your eligibility.

If you certify as an accredited investor and your status changes — or you certify on behalf of an entity and its status changes — you must notify Kraken promptly.
