Agent Zero Promotion

This promotion ("Promotion") is sponsored by Tulip HoldCo Ltd., 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands ("Sponsor" or "Kraken").

The Promotion is open to eligible participants residing in jurisdictions where Kraken operates and where such contests are permitted by law (the "Eligible Areas").

Excluded:

• Canada
• United Kingdom
• Any jurisdiction where contests of this nature are restricted or prohibited

The Promotion begins on May 13, 2026 and ends on May 27, 2026 (the "Promotion Period").

Kraken reserves the right to modify, suspend, or terminate the Promotion at any time in its sole discretion.

To enter the Promotion, participants must:

1. Build a project using the Kraken CLI (the "Submission");
2. Create a video or explainer demonstrating:
   • what the project is; and
   • how it works;
3. Submit the video or explainer through the method designated by Kraken during the Promotion Period.

Entry is free. No purchase, trade, or account funding is required.

Entries are unlimited; however, each Submission must be materially distinct.

This is a contest based on skill, not chance.

Winners will be selected by a panel of judges appointed by Kraken (the "Judging Panel"), consisting of Kraken employees.

Submissions will be evaluated based on the following criteria:

• Innovation and originality
• Technical execution
• Use of Kraken CLI functionality
• Clarity of explanation
• Practical usefulness or impact

All judging decisions are final and binding.

A total of three (3) prizes will be awarded:

• Total prize pool: USD $25,000
• Prizes will be allocated to first, second, and third place winners as determined by the judging criteria.

Prizes:

• Are non-transferable and non-exchangeable
• May not be redeemed for cash
• May be substituted by Kraken with prizes of equal or greater value at its sole discretion

You are eligible to participate if, at the time of entry and throughout the Promotion:

• You reside in an Eligible Area;
• You are at least 18 years old or the age of majority in your jurisdiction;
• You agree to the Kraken.com Terms of Service;
• You comply with these Terms and all applicable laws.

A Kraken account is not required, but may impact the functionality of Submissions.

Kraken reserves the right to disqualify any participant if it determines, in its sole discretion, that the participant:

• Violated these Terms or the Kraken Terms of Service;
• Submitted false, misleading, or plagiarized content;
• Engaged in fraudulent, abusive, or manipulative behavior;
• Attempted to circumvent rules (e.g., duplicate or automated entries).

Winners will be notified via the contact information provided with their submission.

Kraken may require additional verification or documentation prior to awarding any prize.

Failure to respond or provide required information may result in forfeiture of the prize.

By entering the Promotion, you:

• Grant Kraken a worldwide, royalty-free, perpetual license to use, reproduce, modify, and display your Submission for marketing and promotional purposes;
• Consent to the use of your name, likeness, and Submission in connection with the Promotion;
• Agree to receive communications from Kraken, including marketing communications;
• Acknowledge that your information may be shared with third parties for administration and legal compliance purposes.

Kraken is not responsible for:

• Technical failures, network issues, or submission errors;
• Lost, late, incomplete, or corrupted entries;
• Any inability to participate due to external factors.

Kraken is not liable for events beyond its reasonable control, including but not limited to acts of God, regulatory changes, or system failures.

By participating in this Contest, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability ("Claims") that may arise from your acceptance, possession, and/or use of any Prize or your participation in this Contest, regardless of whether such Claims exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS' FEES ARE NOT RECOVERABLE; (2) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (3) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY.

Participants are solely responsible for any taxes, duties, or reporting obligations arising from receipt of a prize.

Kraken does not provide tax advice.

Kraken reserves the right to:

• Modify, suspend, or cancel the Promotion at any time;
• Amend these Terms at its sole discretion;
• Interpret and apply these Terms, with decisions being final.

If any provision is found unenforceable, the remaining provisions remain in full force and effect.
