Organizational Chart

What this document is

An organizational chart is a document, visual or written, that shows how your business is structured internally. It maps out who holds what role, how different parts of the business relate to each other, and who reports to whom. At the top of the chart you would typically find the board of directors or senior leadership, with the rest of the business structure flowing down from there.

In everyday business life, org charts are used for onboarding new employees, planning headcount, and communicating how the business is organized. In the context of corporate account onboarding, they serve a different but related purpose: they help us understand who the key decision makers are, how authority flows through the business, and whether the individuals associated with the account sit at a level where they genuinely have control over how it is used.

It is worth noting that an org chart is not always a standalone document. It might be a slide from an internal presentation, a page from an information memorandum, or a simple diagram drawn up for this purpose. What matters is that it is accurate, up to date, and signed off by someone with the authority to confirm it.

Why we ask for this

Understanding the management structure of a business is part of understanding the business itself. For larger or more complex entities, it is not always obvious from formation documents alone who is actually running the day-to-day operations or who sits above the individuals named on the account.

The organizational chart fills that gap. It allows us to see whether the people we are dealing with genuinely hold the positions they claim to hold, and it gives us a clearer picture of the overall entity structure. This is particularly relevant where a business has multiple layers of management, subsidiaries, or where ownership and control are held by different people.

This supports the broader Customer Due Diligence process required under US federal regulations, specifically the requirement to understand the control structure of the entities we work with.

What your document must show

The document you submit must clearly display all of the following:

Required information

Details

Full legal name of the business

The entity the chart relates to.

Names and titles of senior leadership

Everyone at director level and above, as well as any other individuals with significant decision-making authority.

Reporting lines

A clear indication of who reports to whom, showing how authority flows through the business.

Date last updated

When the chart was most recently reviewed and confirmed as accurate.

Sign off from an authorized representative

A signature or written confirmation from a director or equivalent confirming the chart is accurate and current.

A note on smaller businesses

Not every business has a formal org chart, and that is completely fine. If your business is small and the structure is straightforward, a simple written description of who holds what role and who reports to whom is perfectly acceptable as long as it is signed and dated by an authorized individual.

What we are trying to understand is the structure, not the format. If you can communicate that clearly in writing, you do not need to produce a polished diagram.

Acceptable documents

Any of the following will be accepted, provided they include all of the required information listed above:

  • Internal organizational chart signed off by an authorized officer
  • Management structure diagram included in a board pack or company filing
  • Org chart extracted from a company information memorandum or investor deck
  • Written description of the management structure where a visual chart is not available, signed and dated by a director or equivalent
